Information on a total number of shares and numer of votes from those shares on the day of convening the Annual General Meeting of Agora S.A. to be held on June 20th, 2018

On the day of convening the Annual General Meeting of Agora S.A. the total numer of shares of Agora S.A. amounts to 47,665,426 and the total number of votes amounts to 63,707,231.

The difference between the numer of shares and votes results from:

(i) the share buyback programme finalized by the Company on October 10th, 2017. The total number of shares bought for the pupose of their redemption amounted to 1,084,595 and the number of votes from those shares amounted to 1,084,595; from the own shares purchased during the share buyback programme the Company does not execute voting rights),

(ii) the priviliged series A shares in the amount of 4,281,600 which give right to 5 votes per one share.
